Tenstorrent Limited Product Warranty

This Tenstorrent Limited Product Warranty (this “Warranty”) applies to all Tenstorrent hardware products set forth below (the “Products”) that are purchased directly from Tenstorrent, whether through Tenstorrent's online store or pursuant to a purchase order, quote, or other ordering document. To the extent that you have entered into a separate written agreement with Tenstorrent governing the purchase of Products, the terms of such agreement shall control and supersede this Warranty to the extent of any conflict. In the absence of any such separate agreement, or to the extent any warranty-related matter is not addressed therein, the terms of this Warranty shall apply.

WHAT DOES THIS WARRANTY COVER?

Tenstorrent warrants to you that, upon delivery, the Product will be free from material defects in materials and workmanship for the applicable Warranty Period set forth below, commencing on the date of shipment by Tenstorrent.

HOW LONG IS THE WARRANTY PERIOD?

This Tenstorrent limited Warranty applies for the term specified below, starting from the date the Products are delivered to the shipping destination (the "Warranty Period"):

WHAT WILL TENSTORRENT DO?

If you make a valid Warranty claim, Tenstorrent will, at its sole option and expense, and within a reasonable period from Tenstorrent's receipt of the defective Product:

  1. Repair the defect in the Product; or
  2. Replace the non-conforming Product with a Product of equal or better functional performance; or
  3. Refund or credit to your account the purchase price paid by you.

WHAT DOES THIS WARRANTY NOT COVER?

Tenstorrent does not guarantee that the operation of the Product will be uninterrupted or error free. Tenstorrent is not responsible for any interoperability or compatibility issues that may arise when (a) products, software, or options not supported by Tenstorrent are used; (b) configurations not supported, provided or approved by Tenstorrent are used; (c) parts intended for one system are installed in another system of different make or model.

In addition, this limited product warranty does not apply to:

  • Normal wear and tear;
  • Products that have no defects in materials or workmanship;
  • Software, provided in connection with the Products;
  • Damage due to your misuse or use of the Product outside of the specifications published by Tenstorrent (for instance, on its website or in the Product box); or
  • Defects classified by Tenstorrent as errata (acknowledged technical issues that do not qualify for repair), updates, or changes to the specification.

Note: Tenstorrent reserves the right to, in its sole discretion, change or modify the Product, including changing the specifications for the Product or issuing an errata (i.e., (a list of corrections for printed mistakes or newly discovered bugs), at any time including after Product delivery or after your making a warranty claim.

WHAT IF YOU HAVE A PROBLEM?

To receive the benefit of the Warranty remedy, the following must occur:

  1. You must contact support@tenstorrent.com and, in your e-mail, provide a written explanation of the non-compliance with the warranty.
  2. Based on your explanation, Tenstorrent must be satisfied that the claimed non-compliance exists and Tenstorrent must not have excluded the defect as errata, update, or change to the specification.

LIMITATIONS OF WARRANTY

The warranties, conditions, other terms, and remedies provided herein are instead of any other warranty or condition, express, implied, or statutory, including those regarding merchantability, fitness for any particular purpose, noninfringement, or any warranty arising out of any course of dealing or usage of trade. Tenstorrent does not assume (and does not authorize any person to assume on its behalf) any other liability.

EXCLUSIVE REMEDY

THIS WARRANTY STATES YOUR SOLE AND EXCLUSIVE REMEDY—AND TENSTORRENT'S SOLE AND EXCLUSIVE LIABILITY—WITH RESPECT TO PRODUCTS SOLD TO YOU BY TENSTORRENT. IN NO EVENT WILL TENSTORRENT BE LIABLE FOR ANY MONETARY DAMAGES OR OTHER COSTS ASSOCIATED WITH WARRANTY CLAIMS WHETHER FOR THE REPLACEMENT OR REPAIR OF PRODUCTS, INCLUDING LABOR, INSTALLATION, OR OTHER COSTS INCURRED BY YOU.

DISCLAIMER OF WARRANTY

EXCEPT AS EXPRESSLY PROVIDED HEREIN AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TENSTORRENT DISCLAIMS ALL OTHER WARRANTIES WITH RESPECT TO THE PRODUCT, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION, SATISFACTORY QUALITY, COURSE OF DEALING, TRADE USAGE OR PRACTICE OR THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

This following section applies if you purchase Products that are normally used for personal, family or household purposes:

Some states and countries do not allow limitations on how long an implied warranty lasts or the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. This Warranty gives you specific legal rights, and you may have other rights which vary from state to state and country to country. Consumers have legal rights under applicable national legislation governing the sale of consumer goods. This Warranty does not affect those rights.
